Terms of Service

Please read these terms carefully before using our services

1. Agreement to Terms

By accessing and using Exvertixe's services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use our services.

These terms apply to all visitors, users, and others who access or use our marketing services, including but not limited to monthly subscription packages, one-time services, and our specialized tournament management system.

2. Services Description

2.1 Monthly Subscription Packages

Exvertixe offers monthly subscription packages for ongoing marketing services including social media management, content creation, advertising campaigns, SEO optimization, analytics, and brand strategy. All monthly packages require a minimum commitment period of 6 months.

2.2 One-Time Services

We provide one-time services including:

  • Social media post creation
  • Video editing services
  • Animation services (infomercial style, hand-drawn/complex 2D, and 3D animation)
  • Custom project-based work

2.3 Tournament Management System

Our specialized tournament management system provides comprehensive solutions for sporting events including participant management, fixture generation, live scorekeeping, statistics tracking, and broadcasting integration. Currently supported sports include football, futsal, volleyball, and handball.

3. Subscription Terms

Minimum Commitment: All monthly subscription packages require a minimum commitment of 6 months from the subscription start date.

3.1 Billing and Payment

  • All subscription fees are billed monthly in Maldivian Rufiyaa (MVR)
  • Payment is due at the beginning of each billing cycle
  • Subscription automatically renews at the end of each month unless cancelled
  • The first payment must be received before services commence
  • Late payments may result in service suspension

3.2 Cancellation Policy

During Minimum Commitment Period (First 6 Months):

  • Early termination is permitted with an early cancellation fee
  • The early cancellation fee is 20% of the remaining monthly payments for the 6-month commitment period
  • Example: If cancelling after 3 months, you will be charged 20% of 3 remaining monthly payments
  • No refunds will be issued for unused portions of the commitment period
  • The cancellation fee must be paid before termination is processed

After Minimum Commitment Period:

  • You may cancel your subscription at any time with 30 days written notice
  • Cancellation takes effect at the end of the notice period
  • You remain responsible for payment during the notice period
  • No refunds for partial months

3.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time. We will provide reasonable notice of significant changes that materially affect your subscription.

4. One-Time Service Terms

4.1 Pricing and Payment

  • Prices are quoted in Maldivian Rufiyaa (MVR)
  • Animation services are billed per second with specified minimum durations
  • Services under 500 MVR: Full payment required upfront before work commences
  • Services 500 MVR and above: 50% deposit required before work commences, final 50% payment due upon project completion before delivery
  • Custom quotes provided based on project scope and requirements

4.2 Revisions and Modifications

  • Only reasonable changes and minor adjustments are included free of charge
  • Reasonable changes include minor text edits, color adjustments, and small corrections that do not alter the scope of work
  • Additional revisions, major changes, or requests beyond reasonable adjustments will incur extra charges
  • Scope changes, additional elements, or complete redesigns require a new quote and payment
  • Revision requests must be submitted within 14 days of initial delivery
  • What constitutes "reasonable" is determined at Exvertixe's discretion based on the original project scope

4.3 Delivery Timelines

Estimated delivery timelines are provided at the start of each project. Actual delivery may vary based on:

  • Project complexity and scope
  • Client feedback and approval timelines
  • Availability of required assets and information
  • Current workload and project queue

5. Client Responsibilities

To ensure successful service delivery, clients agree to:

  • Provide accurate and complete information required for services
  • Respond to requests for feedback and approvals in a timely manner
  • Provide necessary access to accounts, platforms, and assets
  • Supply content, images, videos, and other materials as needed
  • Ensure all provided materials comply with copyright and intellectual property laws
  • Maintain active and valid payment methods
  • Review and approve deliverables within specified timeframes

6. Intellectual Property

6.1 Client Content

You retain ownership of all content, materials, and intellectual property you provide to us. By providing materials, you grant Exvertixe a non-exclusive license to use, modify, and display such materials solely for the purpose of delivering services to you.

6.2 Deliverables

Upon full payment, you receive full rights and ownership to the final deliverables created specifically for you, including:

  • Custom graphics and designs
  • Written content and copy
  • Video content and animations
  • Social media posts
Important: All work remains the property of Exvertixe until full payment is received. Rights and ownership are transferred only upon complete payment. Unpaid or partially paid work will not be released, and you may not use, reproduce, or distribute such work without full payment.

6.3 Exvertixe Property

Exvertixe retains ownership of:

  • Our tournament management system software and all associated code
  • Proprietary methodologies, processes, and workflows
  • Templates and frameworks used in service delivery
  • Analytics and reporting tools

6.4 Portfolio Rights

We reserve the right to showcase completed work in our portfolio, case studies, and marketing materials unless otherwise agreed in writing.

7. Tournament Management System

7.1 Software License

Use of our tournament management system is granted as a service license. You do not purchase or own the software; you are granted a non-exclusive, non-transferable license to use the system for the duration of your agreement.

7.2 Data and Privacy

  • Tournament data entered into the system remains your property
  • We implement reasonable security measures to protect your data
  • You are responsible for compliance with data protection laws applicable to your participants
  • We reserve the right to use anonymized, aggregated data for system improvements

7.3 Broadcasting Integration

Our system integrates with third-party broadcasting software (vMix, OBS, etc.). We do not provide live broadcasting services. You are responsible for your own broadcasting equipment, software licenses, and streaming services.

7.4 System Availability

While we strive for 99.9% uptime, we cannot guarantee uninterrupted access. We are not liable for service interruptions due to maintenance, technical issues, or circumstances beyond our control.

8. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of our business relationship. This includes but is not limited to:

  • Business strategies and plans
  • Financial information
  • Unpublished content and campaigns
  • Login credentials and access information
  • Tournament participant data

Exception: Confidentiality obligations do not apply when disclosure is required by law, court order, or lawful request from law enforcement or government authorities. We may disclose confidential information when legally compelled to do so.

9. Limitation of Liability

To the maximum extent permitted by law, Exvertixe shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or business interruption
  • Results or outcomes of marketing campaigns
  • Performance of third-party platforms and services

Our total liability for any claims arising from our services shall not exceed the total amount paid by you to Exvertixe in the six months preceding the claim.

10. Warranties and Disclaimers

We warrant that we will:

  • Provide services with reasonable skill and care
  • Deliver services substantially as described
  • Use qualified professionals for service delivery

We do not warrant:

  • Specific results, outcomes, or metrics from marketing services
  • Increased sales, revenue, or ROI
  • Social media follower growth or engagement rates
  • Search engine rankings or placement
  • Tournament outcomes or participant satisfaction

Marketing results depend on numerous factors beyond our control, including market conditions, competition, product/service quality, pricing, and customer behavior.

11. Refund Policy

11.1 Monthly Subscriptions

  • No refunds for monthly subscription payments
  • Services rendered cannot be refunded
  • Cancellation does not entitle you to a refund of previous payments
  • Early termination requires payment of remaining commitment period

11.2 One-Time Services

  • Deposits are non-refundable once work has commenced
  • Refunds may be considered if we fail to deliver as agreed
  • Refund requests must be submitted within 7 days of final delivery
  • Partial refunds may be offered at our discretion for justified complaints

11.3 Tournament Management System

  • Setup fees are non-refundable once configuration begins
  • Service fees are non-refundable for completed tournaments
  • Unused prepaid services may be refunded at our discretion

12. Termination

12.1 Termination by Client

You may terminate services as outlined in Section 3.2 (Cancellation Policy), subject to minimum commitment requirements and notice periods.

12.2 Termination by Exvertixe

We reserve the right to terminate services immediately if:

  • Payment is more than 5 days overdue (we will contact you via phone or email on the due date as a courtesy reminder)
  • You breach these Terms of Service
  • You engage in fraudulent or illegal activities
  • You misuse our systems or services
  • You provide false or misleading information

12.3 Effect of Termination

Upon termination:

  • Access to services and systems will be revoked immediately
  • You must pay all outstanding amounts immediately, including any applicable early cancellation fees
  • We will provide final deliverables only for fully paid work
  • Unpaid or partially paid work remains our property and will not be released
  • You must cease using our proprietary materials and systems
  • Confidentiality obligations continue indefinitely (except where disclosure is required by law)

13. Dispute Resolution

In the event of any dispute arising from these terms or our services:

  1. The parties agree to first attempt resolution through good-faith negotiation
  2. If negotiation fails, the parties may pursue mediation
  3. Any legal proceedings shall be governed by the laws of the Maldives
  4. Disputes shall be resolved in the courts of the Maldives

14. Changes to Terms

We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Continued use of our services after changes constitutes acceptance of the modified terms.

For existing subscription customers, significant changes will be communicated via email at least 10 days before taking effect. If you do not agree to the changes, you may cancel your subscription in accordance with Section 3.2.

15. Force Majeure

Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to:

  • Natural disasters
  • War, terrorism, or civil unrest
  • Government actions or regulations
  • Internet or telecommunications failures
  • Third-party service provider failures
  • Pandemics or public health emergencies

16. Entire Agreement

These Terms of Service, together with any service agreements, proposals, or contracts, constitute the entire agreement between you and Exvertixe regarding our services and supersede all prior agreements, understandings, and communications.
